SefaHub Terms of Service

1. Intermediary Status & Third-Party Marketplace Disclaimer

1.1. Platform Role: SefaHub explicitly operates as a dual-catalog marketplace connecting independent commercial buyers and registered third-party merchants across Benue State, while also supplying certified first-party direct inventory dispatched from our central operations hub at Nyesom Wike Road, Makurdi.

1.2. Venue Protections: For all listings marked as "Sold by [Merchant Name] | Dispatched via SefaHub Logistics", SefaHub functions strictly as a technology and logistics facilitator. SefaHub does not manufacture, test, or warrant third-party goods.

1.3. Regulatory Compliance: Independent sellers assume sole legal responsibility for product authenticity, non-expired batch dates, manufacturer warranties, and regulatory approvals (including registration with the National Agency for Food and Drug Administration and Control - NAFDAC, and Standards Organisation of Nigeria - SON).

2. Strict Seller Indemnification & Custody Warranties

2.1. Hold Harmless: If any legal action, regulatory penalty, consumer protection sanction, or tort claim is instituted arising from defective, hazardous, expired, or counterfeit merchandise supplied by a vendor, the vendor agrees to fully indemnify, defend, and hold harmless SefaHub (Sefa Holdings), its directors, software engineers, and courier dispatch riders from all liabilities, legal defense fees, and damages.

2.2. Payout Withholding: SefaHub reserves the absolute right to freeze, withhold, or debit seller payout balances to satisfy unresolved customer fraud, counterfeit sales, or chargebacks.

3. Pay on Delivery (POD) & Physical Inspection Boundary Clause

3.1. Permissible Inspection: Customers selecting Pay on Delivery have the affirmative right to physically verify that the outer packaging, brand label, item count, and visible model numbers match their order prior to releasing payment to the courier rider.

3.2. Tamper Boundaries: Customers cannot break inner hygiene seals, open sealed food packaging, unseal pharmaceutical consumables, or break factory shrink-wraps prior to remitting the full transaction amount via cash, POS, or instant bank transfer.

3.3. Refusal of Delivery: If an item is visibly damaged during transit or incorrect, the customer may decline the delivery without penalty. If items match the customer's order and are undamaged, arbitrary rejection or refusing to meet the courier may result in permanent account blacklisting from future Pay on Delivery eligibility across Benue State.

4. Limitation of Liability & Exclusive Benue Jurisdiction

4.1. Monetary Liability Cap: To the maximum extent permitted under applicable law, SefaHub's aggregate financial liability for any direct, indirect, or consequential claim arising out of or related to an order is strictly capped at the exact monetary amount paid by the customer for that specific transaction, or ₦10,000 (ten thousand Nigerian Naira), whichever amount is lower.

4.2. Governing Law: These Terms of Service and all related transactions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

4.3. Exclusive Forum: All disputes, arbitrations, or judicial proceedings arising from this contract shall be submitted to the exclusive jurisdiction of the High Court of Justice, Makurdi, Benue State.
