Merchant Terms of Service (MTS)
Binding legal agreement for independent vendors selling across Makurdi, Gboko, and Otukpo
MANDATORY SELLER OBLIGATION
By submitting a vendor application, listing merchandise for sale, or fulfilling customer orders on SefaHub, you warrant that you are legally authorized to sell your goods and agree to comply with all requirements herein.
1. Product Authenticity, Quality & Regulatory Compliance
1.1. Physical Custody Warranty: The merchant warrants that all items submitted for admin listing approval are currently in their physical custody at their designated store or warehouse in Makurdi, Gboko, or Otukpo.
1.2. Authenticity: Counterfeit, replica, imitation, or grey-market goods are strictly prohibited. The merchant warrants that all branded items are 100% genuine and original.
1.3. Regulatory Approvals: For all consumable goods, packaged foods, cosmetics, and pharmaceuticals, the merchant warrants full compliance with NAFDAC and SON safety regulations. Expired or unwholesome products will result in immediate police referral and account forfeiture.
2. Comprehensive Vendor Indemnification
The merchant agrees to fully defend, indemnify, and hold harmless SefaHub (Sefa Holdings), its owners, directors, employees, affiliates, and contracted dispatch couriers from and against any claims, liabilities, lawsuits, government investigations, consumer complaints, or regulatory penalties arising directly or indirectly from:
- Any defect, illness, injury, or property damage caused by vendor products;
- Misleading, inaccurate, or deceptive product descriptions, prices, or images;
- Breach of third-party trademark, patent, or intellectual property rights;
- Failure to maintain appropriate inventory resulting in unfulfilled orders.
3. Payout Terms & Right of Withholding
3.1. Settlement Cycle: Approved vendor earnings from verified delivered orders are remitted to the verified Nigerian bank account provided during onboarding within standard settlement windows (e.g. T+2 business days).
3.2. Fraud & Chargeback Hold: SefaHub reserves the absolute right to delay, withhold, or debit seller funds in cases of pending customer fraud investigations, chargeback disputes, counterfeit allegations, or customer refund requests.
4. Listing Moderation & Termination
All submitted products enter an admin moderation queue (status: PENDING_APPROVAL) and are only made live to the public after SefaHub administrators confirm pricing realism, product descriptions, and vendor verification. SefaHub may suspend or terminate any seller account at any time for violation of these standards.
